Delivery of Services
Services are performed in accordance with the milestones, tasks, and timelines described in the Agreement. We will use professional judgment and commercially reasonable efforts in providing the Services.
Project timelines depend on timely cooperation and provision of materials from the client.
Proposals and Scope of Work
Proposals remain valid for thirty (30) days unless otherwise stated. If not accepted within this period, we may revise pricing, services, or terms before resubmitting.
The scope of work is defined in the Agreement. Additional tasks or services outside the agreed scope must be documented in writing and approved.
Fees, Expenses, and Taxes
Unless explicitly included in the Agreement:
- Third-party costs (such as software, hosting, data services) are invoiced separately.
- Reasonable project-related expenses may be billed at cost.
- The client is responsible for any applicable taxes related to the Services.
Payment Terms
Invoices are payable within five (5) days from the date of issue, unless otherwise agreed in writing. Payments may follow a milestone schedule as defined in the Agreement.
Changes to Project Scope
Any changes to the scope of the Project must be requested in writing.
Minor adjustments that do not materially affect price or timeline may be accommodated without formal amendment. Significant changes that affect cost, schedule, or deliverables require a supplemental or revised Agreement.
Revised proposals should be accepted within fourteen (14) working days unless otherwise agreed.
Delays and Timeline Adjustments
If timelines are delayed due to the client’s failure to provide necessary materials, approvals, or feedback, the schedule will be extended on a day-for-day basis.
If delays occur on our side, we will notify the client promptly and take reasonable steps to address the issue.
Events outside reasonable control (including force majeure) will not be considered a breach and may result in timeline adjustments.
Review and Acceptance
Deliverables will be subject to internal review before submission.
After delivery, the client has seven (7) working days to review and provide feedback or request revisions within scope. If no response is received within the review period, Deliverables may be considered accepted.
Client Responsibilities
The client agrees to:
- Provide accurate, lawful, and usable materials for the Project
- Ensure that Client Content does not infringe third-party rights
- Provide timely approvals, feedback, and decisions
- Arrange any necessary third-party permissions or access
Unless otherwise agreed, final proofreading and accuracy checks are the responsibility of the client.
Attribution and Portfolio Use
Unless agreed otherwise in writing, we may include a factual reference to the work performed for portfolio or promotional purposes. Attribution will be reasonable and accurate.
Confidential Information
Both parties agree to maintain the confidentiality of non-public information shared during the engagement.
Confidentiality obligations do not apply to information that is publicly available, independently obtained, or required to be disclosed by law.
Independent Contractor
ukraineoutsourcingrates.com acts as an independent contractor. Nothing in these Terms creates a partnership, employment relationship, joint venture, or exclusive arrangement unless expressly agreed in writing.
We may use subcontractors or third-party providers where appropriate, while retaining responsibility for the Services.
Limitation of Liability
To the extent permitted by applicable law, Services are provided “as is.” Our liability for any claim related to the Services is limited to the amount actually paid by the client for the specific Services connected to that claim.
Intellectual Property Rights
Upon full payment, the client receives a non-exclusive, worldwide, perpetual license to use the Final Deliverables as agreed.
Company Tools, methods, and underlying technology remain the exclusive property of ukraineoutsourcingrates.com unless expressly transferred in writing.
Support and Maintenance
Support or maintenance services are provided only if specifically agreed. Additional support may be charged separately. Any warranty may be voided if Deliverables are altered by unauthorized third parties.
Updates to These Terms
We may update or modify these Terms and Conditions at any time. The version posted on ukraineoutsourcingrates.com at the time of use governs the relationship. Continued use of the website or Services indicates acceptance of any updated terms.
